What's the role?
Responsible for the closing and funding of select commercial mortgage loan and equity investments as well as management/processing of select loan modifications. Coordinates and tracks satisfaction of all closing requirements on assigned investments. Reviews, analyzes, and approves title insurance and surveys. Drafts and finalizes loan documents. Reviews and analyzes commercial leases and corporate organizational documents. Insures investments/modifications are closed consistent with original deal structure.
Principle Accountabilities :
Reviews and analyzes Loan Applications and Purchase and Sale Contracts and identifies all necessary Closing Requirements. Prepares a Closing Checklist (from pre-existing formats) and schedules/coordinates Closing Checklist Calls with Department staff and outside Borrowers and/or Sellers. Coordinates timelines toward Closing dates with different entities within Real Estate Department, NM Law Dept, and outside clients. Reports to Director of Real Estate Services on transaction status and identifies system efficiencies. Orders, reviews, and analyzes Title Insurance Commitments and Land Surveys and resolves all noted issues regarding same. Reviews all Entity Evidence relative to Borrower organization structure. Reviews select key leases and identifies risks and liabilities. Summarizes issues in written departmental synopses and provides presentations to Real Estate Department deal review committee(s). Prepares all necessary Loan Documents associated with Loan Application and/or Purchase and Sale Agreement. When necessary, assists Law Department with negotiations of said documents. Finalizes all Closing Requirements and initiates Wire Transfer of loan/acquisition funds. Responsible for review and documentation of select Loan Modification requests. Willingness and ability to expeditiously handle the filing and safe keeping of all loan documentation, including “original signatory” documents and electronic documentation that secures Northwestern Mutual’s position in the security of the transaction.
Bring Your Best! What this role needs:
A bachelor’s degree required; or equivalent, demonstrable experience in commercial real estate transactions. A Paralegal Certificate is desirable.
A minimum of 3 years of experience in either, (1) real estate closings or (2) corporate law.
Understanding of corporations, partnerships, and limited liability companies.
Lease review experience desirable.
Ability to handle multiple priorities successfully and work effectively during periods of high volume.
Excellent verbal and written communication skills required.
Ability to build consensus and demonstrate a high degree of analytical skills relative to job description provided.
Very service oriented and demonstrated ability to work effectively in a team environment.
Willingness and experience in coordinating and working with dynamic personalities to achieve goals without written procedures to accomplish task.
Ability to work “outside of the box”, while comprehending appropriate risk tolerance guidelines from the Department and Director of Real Estate Services.
This job is not covered by the existing Collective Bargaining Agreement.
